Welcome to Better Soil. These Terms & Conditions ("Terms") govern your use of the Better Soil website at bettersoil.ca (the "Site"), the agronomic consulting services we provide ("Services"), and the soil-health products we sell ("Products"). By using the Site, engaging our Services, or purchasing Products from us, you agree to these Terms. If you do not agree, please do not use the Site, our Services, or buy Products from us.
These Terms are a legal agreement between you and Better Soil operating as Better Soil ("Better Soil", "we", "us", "our"), based in Taber, Alberta, Canada.
1. Who We Are
Better Soil is an independent agronomic consultancy serving growers in Southern Alberta and surrounding regions. We provide soil reviews, independent nutrient strategies, regenerative transition planning, and in-season monitoring.
We do not sell granular fertilizer, seed, or chemical crop inputs. We do sell select soil-health products that we believe support biology, structure, and long-term soil function. Our guiding principle is simple: if it doesn't pay, it doesn't stay. Return on Nutrients (RON) is our main focus, and any Product we sell is one we would recommend independently of whether we sold it.

2. Use of the Site
You may use the Site for lawful, personal, and non-commercial purposes, or to evaluate, engage our Services, or purchase Products. You agree not to:
- Use the Site in any way that violates Canadian or Alberta law, or any other applicable law
- Attempt to gain unauthorized access to the Site, its servers, or any related systems
- Interfere with, disrupt, or place an unreasonable load on the Site
- Scrape, harvest, or otherwise collect content from the Site for republication or commercial use without our written permission
- Upload or transmit viruses, malware, or any other harmful code
- Misrepresent your identity or affiliation when contacting us, submitting forms, or placing orders
We may suspend or restrict access to the Site at any time, with or without notice, if we believe you have violated these Terms.
3. Booking and Engagement of Services
The Site allows you to request a soil review or initial consultation. Submitting a request through the Site is not a binding engagement. A formal engagement begins only when:
- We have spoken with you to understand your fields and goals,
- We have provided a written scope of work, fee estimate, or service agreement, and
- You have confirmed that scope in writing (email is acceptable).
Until those steps are complete, no consulting relationship exists, and Better Soil has no obligation to perform any work.
The "free soil report" referenced on the Site refers to an introductory walk-through and report offered at our discretion to qualifying growers. Availability is limited each month, and we reserve the right to decline any request, including where the field, crop, or location falls outside our service area or expertise.
4. Our Services and the Nature of Agronomic Advice
Our reports, recommendations, nutrient plans, and verbal advice are based on:
- Soil samples, tissue tests, and field observations available at the time
- Lab results from third-party laboratories
- Generally accepted agronomic principles and our professional experience
- Information you provide about your operation, history, and goals
Agronomy is not an exact science. Crop performance depends on weather, water, pests, disease, application timing, equipment, market conditions, operator decisions, and many other factors that are outside our control and that can change after we deliver our advice. Our recommendations are professional opinions intended to inform your decisions; they are not guarantees of yield, profit, soil health outcomes, regulatory compliance, or any specific result. The same applies to any Product we recommend or supply: the Product is one tool among many, and outcomes depend on field conditions, application, and seasons we cannot predict.
You remain the decision-maker for your operation. You are responsible for:
- Choosing whether to act on our recommendations, in whole or in part
- Confirming product rates, application timing, and label compliance with your applicator
- Following all federal, provincial, and municipal regulations, including those relating to fertilizer, pesticide, water, and environmental management
- The safe handling, storage, and application of any products used on your fields, whether purchased from us or elsewhere
- The accuracy of any information you provide to us
If a recommendation we provide conflicts with a Product label, regulation, or directive from a regulatory authority, the label, regulation, or directive controls.
5. Sale of Products
5.1 What we sell and how we fulfill orders
Better Soil sells select soil-health products, including but not limited to biological inoculants, bio stimulants, soil amendments, and similar inputs, that we have evaluated and chosen because we believe they support soil function and economic return for our clients. We do not sell granular fertilizer, seed, or chemical crop inputs.
Better Soil does not hold inventory. When you order a Product through us, we arrange for it to be shipped directly from the manufacturer or distributor's warehouse to you. Better Soil is your seller and the party responsible to you for the order, even though the Product ships from a third party.
5.2 Ordering and pricing
Products may be ordered through phone, email, an in-person discussion, or, where available, through the Site. The order channel and payment terms of product purchased:
- For all products, we will ask for payment when product(s) have arrived on site (Farm Location)
- All prices are in Canadian dollars and exclude GST and shipping unless stated otherwise
- We reserve the right to change pricing at any time, but the price quoted in your written order confirmation is the price that applies to that order
A binding contract of sale is formed only when we send you a written order confirmation (email is acceptable). We may decline or cancel any order, including after confirmation, if there is a pricing or stock error, suspected fraud, a manufacturer's inability to fulfill, or a regulatory issue with the Product or destination.
5.3 Shipping, delivery, risk, and title
Products are shipped from the manufacturer or distributor's warehouse using third-party freight or shipping carriers. Delivery times are estimates, not guarantees, and we are not responsible for carrier delays, manufacturer fulfillment delays, or events outside our reasonable control.
Risk of loss or damage to the Product passes to you when the Product is delivered to the carrier at the manufacturer's warehouse. Title to the Product passes to you when we have received payment in full.
You are responsible for inspecting Products on delivery and reporting any visible damage to the carrier and to us within [24 hrs] of delivery, ideally with photos. We will work with you and the manufacturer to resolve transit-damage claims; you agree to cooperate with reasonable steps the carrier or manufacturer requires to process such a claim.
5.4 Returns and product issues
Soil-health products are sensitive to, handling and extreme temperature swings. Products ship directly from manufacturer warehouses so we cannot verify how a Product has been handled once it leaves the carrier. All sales are final, except in the following cases:
- The Product arrived damaged in transit (notify us and the carrier within 24 hours of delivery, with photos)
- The Product is defective or materially does not match what was ordered
- A return is required by applicable law that cannot be excluded
Where a return is accepted, your remedy is, at our option, replacement of the Product, a credit toward a future purchase, or a refund of the purchase price. Return logistics (where to ship the Product, who pays return freight, etc.) will be coordinated with us and may be governed by the manufacturer's return process. Returned Product must be unopened, in its original packaging, unless we agree otherwise in writing. We may decline returns of Product that has been opened, partially used, exposed to extreme temperatures, or held beyond its labelled storage window.
5.5 Product warranties
Better Soil warrants that the Product you receive will match the description, quantity, and Product specification set out in your order confirmation.
Because Better Soil does not manufacture, formulate, or store the Products we sell, all manufacturer warranties, including warranties relating to performance, composition, shelf life, and freedom from manufacturing defect, are provided by the manufacturer and pass through to you on an "as available" basis under the manufacturer's terms. We will reasonably assist you in pursuing a manufacturer warranty claim, but the manufacturer is responsible for honouring its own warranty.
To the fullest extent permitted by law, the warranty in the first paragraph of this section 5.5 is the only warranty Better Soil itself provides on Products. All other warranties, including any implied warranties of merchantability, fitness for a particular purpose, durability, or yield outcome, are disclaimed.
5.6 Label compliance and proper use
You agree to read, understand, and follow all Product labels, technical data sheets, safety data sheets (SDS), and applicable regulations before applying or storing any Product. We are not responsible for damage, loss, or regulatory issues arising from misapplication, off-label use, or improper storage of Products by you, your employees, or your applicator.
6. Fees and Payment
Fees for paid Services will be set out in a written quote, scope of work, or invoice, separately from any Product invoices. Unless otherwise stated:
- Invoices are payable in Canadian dollars within 24 hrs of the invoice date
- Late amounts may accrue interest at [2] % per month (or the maximum permitted by law, whichever is lower)
- Lab fees, travel beyond our standard service area, and out-of-pocket disbursements may be billed in addition to consulting fees
- Applicable GST or other taxes will be added where required
If you cancel a scheduled field visit or sampling day with less than 12 hours notice, we may charge a cancellation or rescheduling fee.
We may withhold delivery of Products, future Services, or reports if you have an overdue invoice with us.
7. Intellectual Property
All content on the Site, including text, graphics, logos, photographs, illustrations, footprint sketches, the "Better Soil" name and brand, and the layout and design of the Site, is owned by Better Soil or our licensors and is protected by Canadian and international copyright and trademark laws.
You may view and print pages of the Site for your own non-commercial reference. You may not reproduce, republish, modify, distribute, or use any Site content for commercial purposes without our prior written consent.
Reports, plans, and other deliverables we prepare for you under a paid engagement are licensed to you for use in the operation of your farm. You may share them with your applicator, lender, agronomist, accountant, or landlord as needed for that purpose. You may not resell our reports, repackage them as your own work, or use them to provide advisory services to other growers without our written consent. We retain all underlying intellectual property in our methods, templates, and know-how.
Product names, logos, and trademarks appearing on Product packaging or marketing material are the property of their respective owners.
8. Your Information
When you contact us, book a soil review, place a Product order, or engage our Services, you may share information about yourself, your fields, your operation, and your soil. We treat that information as described in our Privacy Policy.
You confirm that any information you provide is accurate to the best of your knowledge and that you have the right to share it with us. If field information relates to land you do not own (for example, rented or custom-farmed acres), you are responsible for confirming you have authority to engage us in respect of that land.
9. Third-Party Links and Services
The Site may contain links to third-party websites (for example, labs, equipment suppliers, manufacturers, or industry resources) and may rely on third-party services for hosting, analytics, email, payment processing, and shipping. We do not control those third parties and are not responsible for their content, practices, availability, or terms. Following an external link or interacting with a third-party service is at your own risk and subject to that third party's own terms and privacy policies.
10. Disclaimers
To the fullest extent permitted by law, the Site, our Services, and our Products are provided "as is" and "as available", without warranties of any kind, whether express or implied, except for the limited Product warranty in section 5.5. We do not warrant that:
- The Site will be uninterrupted, secure, or error-free
- Information on the Site is complete, current, or accurate at all times
- Soil reports, lab results, recommendations, plans, or Products will produce any particular yield, margin, soil-health outcome, or financial return
- The Services or Products will be free from human or analytical error
We disclaim, to the fullest extent permitted by law, all implied warranties including merchantability, fitness for a particular purpose, durability, and non-infringement.
Nothing in these Terms limits or excludes any liability that cannot lawfully be limited or excluded under Alberta or Canadian law, including, where applicable, rights under consumer protection legislation.
11. Limitation of Liability
To the fullest extent permitted by law, Better Soil, its owners, employees, contractors, and affiliates will not be liable for any:
- Indirect, incidental, special, consequential, exemplary, or punitive damages
- Loss of profit, loss of yield, loss of revenue, loss of margin, loss of business opportunity, or loss of goodwill
- Loss or corruption of data
- Damages arising from third-party products, applications, weather, market conditions, carrier performance, or decisions made by you or your applicator
arising out of or in connection with the Site, the Services, the Products, or these Terms, even if we have been advised of the possibility of such damages.
Where liability cannot be excluded, our total aggregate liability to you for all claims is limited as follows:
- For claims arising out of a paid consulting engagement: the fees actually paid by you to Better Soil for that engagement in the twelve (12) months preceding the event giving rise to the claim
- For claims arising out of a Product order: the purchase price actually paid for the specific Product unit(s) giving rise to the claim
- For claims arising out of free or introductory Services, or use of the Site generally: CAD $100
You agree that these limits are reasonable given the nature of agronomic consulting, the role of soil-health products as one input among many, and the many factors outside our control that affect crop and soil outcomes.
12. Indemnity
You agree to indemnify and hold harmless Better Soil and its owners, employees, and contractors from any claims, losses, damages, liabilities, and reasonable legal fees arising out of:
- Your breach of these Terms
- Your misuse of the Site, any deliverable we provide, or any Product
- Your application, storage, or handling of Products on your fields, whether or not consistent with our recommendations or the Product label
- Inaccurate information you provide to us
- Your violation of any law or any third party's rights
13. Termination
You may stop using the Site at any time. We may suspend or terminate your access to the Site, any active engagement, or any pending Product order at any time if you breach these Terms, fail to pay an invoice, or if we reasonably believe continuing would expose us to legal or reputational risk.
Sections that by their nature should survive termination, including Sale of Products (with respect to delivered Products), Intellectual Property, Disclaimers, Limitation of Liability, Indemnity, and Governing Law, will survive.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada that apply in Alberta, without regard to conflict-of-laws principles.
You agree that the courts located in Alberta, Canada, will have exclusive jurisdiction over any dispute arising out of or relating to these Terms, the Site, our Services, or our Products, except that we may seek injunctive relief in any jurisdiction where appropriate.
15. Changes to These Terms
We may update these Terms from time to time. When we do, we will change the "Last updated" date at the top of this page. If the changes are material, we will make reasonable efforts to notify active clients by email. Continued use of the Site, our Services, or purchase of Products after changes are posted means you accept the updated Terms. Orders that have already been confirmed are governed by the Terms in effect at the time of confirmation.
16. General
If any part of these Terms is found to be unenforceable, the rest remains in effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our written consent. We may assign these Terms in connection with a sale or restructuring of our business. These Terms, together with our Privacy Policy and Cookie Policy, are the entire agreement between you and Better Soil regarding the Site (paid consulting engagements and individual Product orders may be governed by separate written agreements or order confirmations, which control in case of conflict on engagement- or order-specific terms).
